1. The service

OrcaBid is software that automates the management and optimization of Amazon advertising campaigns on your behalf, within parameters you configure (such as target ACOS, daily budgets, and monthly budget limits). By creating an account or connecting an Amazon marketplace, you agree to these Terms.

2. Your account and authorization

  • You must own or be authorized to manage the Amazon advertising account you connect.
  • You authorize OrcaBid, via the official Amazon Ads API, to read advertising data and to create and modify campaigns, keywords, bids and budgets on your behalf, within the limits you set in the application.
  • You may revoke this authorization at any time; automation stops immediately upon revocation.

3. Automated actions

OrcaBid executes rule-based and algorithmic changes to your advertising. All actions are recorded in an activity log, and supported actions can be undone from the log. You remain responsible for your advertising strategy, budgets, and the results of campaigns. Advertising outcomes depend on many factors outside our control, and we do not guarantee any particular sales, ACOS, or performance result.

4. Acceptable use

  • No use that violates Amazon’s terms, the Amazon Ads Partner Network Policies, or applicable law.
  • No reverse engineering, reselling, or providing the service to third parties without our written consent.
  • No attempt to access data of other OrcaBid customers.

5. Fees

Pricing is communicated at sign-up or in a separate order form. Subscription fees are billed in advance and are non-refundable except where required by law. For the Managed Refund Service, fees are charged as a percentage of reimbursements actually recovered to your account ("success fee"); if nothing is recovered, no fee is due. We may change pricing with at least 30 days’ notice.

6. Intellectual property

We own the OrcaBid software and all related intellectual property. You retain all rights to your data; you grant us a limited license to process it solely to provide the service.

7. Disclaimer and limitation of liability

The service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, our total liability arising out of the service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost advertising spend.

8. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your tokens are deleted immediately and your data is deleted within 30 days, as described in the Privacy Policy.

  • 你可随时撤销授权，撤销后自动化立即停止。

3. 自动化动作

OrcaBid 会对你的广告执行基于规则与算法的更改。所有动作均记录在操作日志中，支持的动作可从日志撤销。你的广告策略、预算及广告结果仍由你负责。广告效果受多种我们无法控制的因素影响，我们不保证任何特定的销售额、ACOS 或效果结果。

4. 合理使用

  • 不得以违反亚马逊条款、Amazon Ads 合作伙伴网络政策或适用法律的方式使用本服务。
  • 未经我们书面同意，不得逆向工程、转售或向第三方提供本服务。
  • 不得尝试访问其他 OrcaBid 客户的数据。

5. 费用

价格在注册时或单独订购单中告知。订阅费用预付，除法律另有要求外不予退款。FBA 回款托管服务按实际回到你账户的赔付金额的一定比例收费（“成功佣金”），未回款则不收费。价格调整将提前至少 30 天通知。

6. 知识产权

OrcaBid 软件及相关知识产权归我们所有。你的数据归你所有；你授予我们仅为提供服务之目的处理数据的有限许可。

7. 免责声明与责任限制

服务按“现状”提供，不附带任何形式的保证。在法律允许的最大范围内，我们因服务产生的全部责任以你在索赔前 12 个月内支付的费用为限。我们不对间接、附带或后果性损失（包括利润损失或广告花费损失）承担责任。

8. 终止

你可随时停止使用并删除账户。对违反本条款的账户，我们可暂停或终止服务。终止后，令牌立即删除，数据按隐私政策所述在 30 天内删除。

9. 条款变更与联系方式
